Caroline Lee Joins Seward & Kissel’s Corporate Group as Partner

NEW YORK--(BUSINESS WIRE)--Seward & Kissel LLP is pleased to announce that Caroline M. Lee has joined the Firm’s New York office as a partner in its Corporate Group.

Lee, a veteran fund finance lawyer from Dechert LLP, has extensive experience in complicated financings designed to provide fund-level leverage to facilitate and support investment activities.

“Caroline’s expertise in fund finance significantly enhances our capabilities,” said Nick Katsanos, partner and Chair of the Corporate Group. “She brings strategic insight and proven experience that will deliver real value to our clients.”

Lee’s practice involves advising various financial sponsors, asset managers, business development companies and other financial institutions on a wide variety of fund financing transactions, including: subscription (capital call) facilities secured by uncalled capital commitments and related rights, with borrowing base capacity for the fund, as well as its parallel funds, alternative investment vehicles and portfolio companies; unsecured demand lines with an uncalled capital coverage requirement; NAV-based facilities; hybrid facilities; fund-level ABL revolvers and SPV asset-based financings; margin loans; fund guarantees of portfolio level investments; GP facilities and management lines provided to investment advisors for working capital purposes; and employee co-investment credit facilities secured by their fund interests.

“It’s a privilege to join and become part of a firm with such distinguished reputation for its leadership in the investment fund industry,” said Lee. “The scope of the Firm’s fund practice strongly coincides with my own practice and truly reflects the Firm’s growth opportunities in the fund finance space.”

“Caroline’s arrival strengthens our ability to serve financial sponsors, asset managers and business development companies,” said partner and Co-Chair of the Firm’s Investment Management Group Kevin Neubauer. “Her experience in navigating fund financings will make her a key asset for our clients.”

Lee received her J.D. from Northwestern University Pritzker School of Law and received her B.A. from University of California, Berkeley.
