Annual Meeting of Stockholders
The 2017 Annual Meeting of Stockholders of Bluestem Group Inc. will be held at the offices of Faegre Baker Daniels LLP, 90 South Seventh Street, 2200 Wells Fargo Center, Minneapolis, MN 55402, commencing at 8:00 AM Central Time, on Wednesday, June 21, 2017, (i) to elect members of the board of directors who are not separately elected by a vote of the Company’s Series A Preferred stockholders to serve until the next annual meeting of stockholders, and (ii) to transact such other business as may properly come before the meeting or any adjournments thereof. Stockholders of record as of the close of business on April 28, 2017 will be entitled to notice of and to vote at the annual meeting or any adjournments thereof.

Corporate Governance
On February 16, 2017, the Board of Directors of BGRP approved an amendment to the Company's Bylaws to add a customary advance notice provision. This change is consistent with the Company’s efforts to operate in accordance with typical public reporting company conventions and to ensure that all stockholders are informed on any matters raised by individual holders. The amendment provides that for a stockholder to properly bring any item of business before an annual meeting of the Company's stockholders, including the nomination of a person to serve as a director of the Company, the stockholder must give timely notice of the nomination or item of business in writing to the Secretary of the Company. To be timely, a stockholder's notice generally must be delivered to the Secretary at the principal executive offices of the Company not later than the close of business on the 60th day prior to the first anniversary of the preceding year's annual meeting.

The amendment to the Company's Bylaws also provides that if the Company calls a special meeting of stockholders for the purpose of electing one or more directors to the Board of Directors, a stockholder may nominate a person or persons for election as specified in the Company's notice of meeting by delivering the notice required by the Company's Bylaws to the Secretary of the Company not later than the close of business on the later of the 60th day prior to the special meeting or the 10th day following the day on which public announcement is first made of the date of the special meeting and of the nominees proposed by the Board of Directors to be elected at the meeting.

The amended Bylaws specify certain information that a stockholder must include in its notice to the Company to nominate a person for election as a director or to bring another item of business before a meeting of stockholders.
