The purchasing plan complies with Section 10b5-1 of the Securities Exchange Act of 1934, as amended, which enables securities holders to adopt pre-arranged stock purchasing plans for the acquisition of predetermined amounts of securities on a non-discretionary basis.
The transactions under this 10b5-1 purchasing plan will commence no earlier than November 18, 2013. The details of the transactions will be available publicly through Form 4 filings with the Securities and Exchange Commission.
